SOUTHERN INYO AMATEUR RADIO ASSOCIATION

ARTICLES OF ORGANIZATION

 

ARTICLE 1. NAME

The name of this orginization shall be the SOUTHERN INYO AMATEUR RADIO ASSOCIATION

ARTICLE 11. PURPOSE

The purposes for which this association is formed are:

1. The primary purposes are to operate a non-profit association for educational end scientific purposes as follows:

 

A. To educate and increase the proficiency of its members in the science of radio communication.

 

B. To provide for the dissemination of information among

   its members concerning scientific advancement and

   progress in the field of radio communication.

 

C. To organize and train units of licensed radio amateurs capable of maintaining radio communication as a 

   public service during periods of emergency.

 

D. To encourage and sponsor experimental activities in radio communication and electronics, to the end that

   skills and experience gained in amateur radio will further the application of electronics to the benefit

   of the public at large.

 

E. To promote the advancement of standards of practice and ethics in the conduct of amateur radio 

   Communications in a free and non-restrictive manor, so long as the users of the systems adhere to those 

   Laws and practice standards.

 

F. To assist in carrying out these primary purposes, this association maintains, and intends to continue to

   maintain, an active affiliation with The American Radio Relay League, Inc. of Newington, Conn., the 

   national non-profit organization of radio amateurs.

 

2. The general purposes and powers are to have and exercise all rights and powers conferred on association by its members including contract, rent, buy, or sell personal or real property, provided, however, that this association shall not except to insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purposes of this association.

 

3. No substantial part of the activities of this association shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the association shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.

ARTICLE III. NON-PROFIT PURPOSES

This association is organized pursuant to the General Law of the State of California. This association does not contemplate pecuniary gain or profit to the members thereof, and it is organized for non-profit purposes.

ARTICLE IV. HEADQUARTERS

The location in the State of California where the principal office for the transaction of business of this association  is to be located in southern Inyo County, California

ARTICLE V. MANAGEMENT

The general management of the affairs of this association shall be under the control, supervision and direction of the Board of Directors consisting of three members.

ARTICLE VI. BY-LAWS

The qualifications of members of this association, the different classes of membership, if any, the voting and other rights of members, the amount of dues payable, the number of directors and officers and the method of their election and other details of the internal operation of this corporation shall be as set forth in the By-Laws.

ARTICLE VII. DEDICATION OF ASSETS

The property of this association is irrevocably dedicated to educational and scientific purposes, and no part of its net income or assets shall ever incur to the benefit of any director, officer or member thereof or to the benefit of any private individual.

Upon the dissolution or winding up of this association its assets remaining after the payment of, or provision for the payment of, all debts and liabilities shall be distributed to (1)The American Radio Relay League, Inc., if it is then in existence and exempt under Section 501(c)(3) of the Internal Revenue Code; but if it is not then in existence or exempt, to another organization which is organized and operated exclusively for educational and scientific purposes and which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code.

 

BY-LAWS

ARTICLE I MEMBERSHIP

All persons interested in amateur radio communication shall be eligible for membership. Membership shall be regulated by such dues and conditions as shall be set forth in the club's by-laws.


ARTICLE II OFFICERS

 

Section 1 - The officers OF this club shall be:

President, Vice-President, Secretary, and Treasurer.

 

Section 2 - The officers of this club shall be elected for a term of one year by ballot of the members

present, provided there be a quorum, at the November meeting of each year. Nominations for officers will be tendered during the October meeting.

 

Section 3 - Vacancies occurring between elections must be filled by special elections at the first

regular meeting following the withdrawal or resignation.

 

Section 4 - Officers may be removed by three-fourths vote of the membership.


ARTICLE III DUTIES OF OFFICERS

 

Section 1 - The president shall preside at all meetings of this association and conduct the same

according to the rules adopted. He shall enforce due observation of the ARTICLES OF ORGANIZATION

and the By-Laws, decide all questions of order, sign all official documents that are adopted by the club and none other, insure that all Federal and State documents are filed an a timely basis. He, or his designee, shall be responsible for obtaining mail sent to the club at its Post Office box. He shall perform all the customary duties pertaining to the office of president.

 

Section 2 - The Vice-President shall assume all the duties OF the President in the absence of the

latter. He shall also organize club member activities and programs both of a social and technical nature.

 

Section 3 - The Secretary shall keep a record of the proceedings of all meetings, keep a roll

of the membership, carry on all correspondence, and read any communications at each meeting.

 

 

Section 4 - The Treasurer shall keep accurate records of

all monies received and disbursed. He shall pay those bills: authorized by the memberships. At monthly meetings he shall present, for or review of the membership, a written account of the month's activities to include: Beginning Balance, Ending Balance, Receipts, and Disbursements. At the end of each year an audit of financial records, performed by two members who shall be appointed by the President, shall be conducted. At the expiration of his term he shall turn over all records and materials belonging to the club to his successor.

 

ARTICLE IV MEETINGS

 

The By-Laws shall provide for regular and special meetings. At these meetings one third of the total resident membership shall constitute a quorum for the purpose OF conducting business.


ARTICLE V DUES

The association, by a majority vote of those present at any regular meeting, may levy upon the general membership such dues or assessments as, shall be deemed necessary for the business of the organization within its objectives a, set Forth in the Articles of Association. Non-payment of such dues or assessments shall be cause for expulsion from the club within the discretion of the membership.


ARTICLE VI AMENDMENTS

 

These Articles may be amended at any regular meeting of this association by a two-thirds majority of the voting members (as defined in the By-Laws) present, notice OF the proposed amendment having been submitted in writing at a previous regular meeting, having been read to the membership at three consecutive regular meetings and having been mailed to each voting member in advance of the meeting at which it is to be voted upon.


ARTICLE VII HONORARIUMS

Section I - In recognition of his contributions to S.I.A.R.A. and significant donation of a remote radio site and building, Terry Downey (W6TD) is given a dues-exempt life-membership.

 

ARTICLE VIII SITES TRUSTEE

 

The Repeater Site trustee shall be the liaison between the U.S. Forest Service and S.I.A.R.A. He shall be appointed by the Board of Directors in harmony with provisions set forth by the U.S. Forest Service. He shall ensure that all fees

attendant to the repeater site are paid on a timely basis. Further, he shall have complete control of the facility including the establishment of engineering standards and operating procedures consistent with the goals and objectives this association.

 

ARTICLE IX DIRECTORS

 

The tenure of the Board of Directors shall be for three years and, for the purpose of continuity, shall be overlapping. Successors to the Board of Directors shall be chosen by the existing Directors and shall be subject to the approval, by simple majority, of the voting membership. Directors can be removed by a three-fourths vote of the membership.
